These Terms of Sale (ToS) define the rights and obligations of Weblio and its clients in the context of selling digital services.
Any order for services implies full and complete acceptance of these ToS.

Article 2 - Services
Weblio offers the following services in the field of web and digital marketing:
- Website creation: showcase sites, e-commerce, custom sites
- Search Engine Optimization (SEO): on-page optimization, off-page, local SEO, content strategy
- Online advertising: Google Ads campaigns management, Meta Ads (Facebook, Instagram), TikTok Ads
- Website maintenance: updates, security, backups, technical support
- Digital consulting and strategy: audit, recommendations, support
Services are detailed in each personalized quote and can be adapted to the specific needs of each client.
Article 3 - Quotes and Orders
3.1 Quote Preparation
Each project is subject to a free personalized quote, established after analyzing the need and discussion with the client. The quote specifies the nature of the services, indicative deadlines, price and payment terms.
Quotes are valid for 30 days from their date of issue, unless otherwise stated.
3.2 Quote Acceptance
The signed quote accompanied by any deposit constitutes an order confirmation and firm commitment from the client. The client acknowledges having read and accepted these ToS.
3.3 Order Cancellation
Any order cancellation after signing the quote must be notified in writing. The deposit paid remains acquired by Weblio, as well as invoicing for services already performed.
Article 4 - Prices and Payment Terms
4.1 Pricing
Prices are indicated in euros (€) excluding taxes on quotes. They are firm and final for the validity period of the quote. Any additional service or substantial modification of the initial project may give rise to a supplementary quote.
4.2 Payment Terms
Unless otherwise stated on the quote, payment terms are as follows:
- Deposit of 30% to 50% upon signing the quote
- Balance upon project delivery or according to schedule defined in the quote
4.3 Accepted Payment Methods
Payments can be made by bank transfer.
4.4 Late Payment
In case of late payment, penalties equal to three times the legal interest rate will be applied automatically, as well as a flat-rate compensation of €40 for collection costs, in accordance with articles L441-6 and D441-5 of the Commercial Code.
Article 5 - Delivery Times
The delivery times mentioned in the quote are given for information only. They may vary depending on several factors:
- The complexity and scope of the project
- The availability and responsiveness of the client in providing necessary elements
- Compliance with the validation schedule by the client
- Exceptional circumstances or force majeure
A delay in delivery cannot give rise to penalties, order cancellation or refusal to pay, unless otherwise expressly stipulated in the quote.
Article 6 - Maintenance and Support
6.1 Included Maintenance
The included technical maintenance varies according to the package chosen by the client and is specified in the quote. It may include:
- Security updates and fixes
- Regular backups
- Technical support by email
- Site monitoring and surveillance
6.2 Non-Package Maintenance Services
Any intervention not included in the chosen maintenance package (graphic modifications, addition of features, etc.) will be subject to additional invoicing upon quote.
Article 7 - Client Obligations
The client undertakes to:
- Provide all necessary elements for project completion within agreed deadlines (texts, images, logos, access, etc.)
- Validate completion stages according to the defined schedule
- Ensure having all necessary rights to the content provided
- Respect payment deadlines
- Inform Weblio of any modification or request as soon as possible
Any failure by the client to meet these obligations may result in postponement of delivery deadlines and/or additional invoicing.
Article 8 - Weblio Obligations
8.1 Best Efforts Obligation
Weblio is bound by a best efforts obligation for all its services, particularly for SEO services and online advertising (Google Ads, Meta Ads, TikTok Ads).
This means that Weblio commits to implementing all necessary professional, technical and human resources to achieve the defined objectives, without being able to guarantee a precise result (e.g.: exact Google ranking, number of conversions, revenue generated).
8.2 Weblio Commitments
Weblio nevertheless commits to:
- Implement industry best practices
- Respect agreed deadlines as much as possible
- Keep the client informed of project progress
- Ensure a professional quality level in line with market standards
- Guarantee confidentiality of information provided by the client
Article 9 - Delivery and Validation
9.1 Delivery
Delivery is made by presenting the completed work to the client, either online (website production, advertising campaign activation), or by transmitting source files.
9.2 Validation Phase
The client has 7 working days from delivery to make observations and request any corrections. After this period, the project is deemed accepted without reservation.
9.3 Changes
Minor modifications included in the quote are made at no extra cost. Any request for substantial modification not provided in the quote may be subject to additional invoicing.
Article 10 - Intellectual Property
10.1 Before Full Payment
Weblio retains full intellectual property of the creations made (designs, code, content) until full payment of the agreed price.
10.2 Rights Transfer
Once full payment is made, Weblio transfers to the client the exploitation rights necessary for normal use of the completed project within their business.
Weblio nevertheless retains intellectual property of its methods, know-how, tools and processes.
10.3 Use as Reference
Unless expressly opposed in writing by the client, Weblio reserves the right to mention the completed project in its commercial references and portfolio.
Article 11 - Liability and Warranties
11.1 Limitation of Liability
Weblio's liability can only be engaged in case of proven fault and is limited to the amount of direct damage actually suffered, within the limit of sums actually paid for the project concerned.
11.2 Liability Exclusions
Weblio cannot be held responsible for:
- Commercial results (revenue, conversions, sales) generated by the services
- Return on investment (ROI)
- Problems related to hosting or third-party services (Google, Meta, etc.)
- Content provided by the client (legal compliance, copyright, etc.)
- Non-compliant or fraudulent use of the project by the client or a third party
- Indirect damages (data loss, loss of profit, loss of customers, etc.)
Article 12 - Termination
12.1 Termination for Breach
In case of serious breach by one party of its obligations, the other party may terminate the contract automatically 15 days after sending formal notice by registered letter with acknowledgment of receipt that remained ineffective.
12.2 Termination at Client's Initiative
In case of early termination at the client's initiative, they must pay the full amount due for services already performed, as well as the deposit paid which remains acquired by Weblio.
Article 13 - Confidentiality
Both parties undertake to respect the confidentiality of all information exchanged as part of the service. This commitment continues throughout the contractual relationship and after its termination.
Article 14 - Force Majeure
Weblio cannot be held responsible for non-performance of its obligations in case of force majeure, particularly in case of strike, computer failure, telecommunications network failure, natural disaster, epidemic, or any other circumstance beyond its control.
Article 15 - Personal Data Protection
Weblio undertakes to comply with current regulations regarding personal data protection, particularly GDPR. For more information, see ourPrivacy Policy.
Article 16 - Applicable Law and Jurisdiction
These Terms of Sale are governed by French law.
In case of dispute, the parties will endeavor to find an amicable solution. Failing agreement, any dispute relating to the interpretation or execution of these ToS will be under the exclusive jurisdiction of French courts, in accordance with the rules of jurisdiction in force.
Article 17 - Changes to ToS
Weblio reserves the right to modify these ToS at any time. The applicable ToS are those in force on the date of signing the quote by the client.
Article 18 - Acceptance of ToS
Signing the quote constitutes express and unreserved acceptance of these Terms of Sale by the client.
